ChatBotChatApp Terms of Use

Introduction

These Terms of Use ("Agreement") govern your access to and use of the ChatBotChatApp website, mobile application, and related services (collectively, the "Service"). Please read this Agreement carefully before using the Service. By accessing or using the Service, you ("You" or "User") agree to be bound by this Agreement. If you do not agree to all the terms and conditions of this Agreement, you may not access or use the Service.

1. Acceptance of Terms

By accessing or using the Service, you represent that you have read, understood, and agree to be legally bound by this Agreement and our Privacy Policy (see Section 18). You also represent that you are of legal age to form a binding contract. If these terms are considered an offer, acceptance is expressly limited to these terms.

2. Who Can Use the Service

  • Age Restriction: The Service is not intended for individuals under the age of 13. We do not knowingly collect personal information from children under 13. If you are under 13, please do not use the Service or provide any personal information. If we learn that we have collected personal information from a child under 13, we will take steps to delete it.
  • Accuracy of Information: You represent that all information you provide to us is accurate and truthful, and you will maintain the accuracy of this information.
  • Legal Capacity: You represent that you are legally permitted to use the Service and take full responsibility for your use of the Service.

3. User Accounts

  • Account Creation: To access certain features of the Service, you may be required to create an account. You must provide accurate and complete information when creating your account.
  • Account Security: You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
  • One Account Per User: We permit only one account per user. We reserve the right to terminate accounts that violate this policy or our fair usage guidelines.
  • Account Termination by User: If you wish to terminate your account, you may simply discontinue using the service or follow the account deletion process.

4. User Conduct and Content

  • Prohibited Activities: You agree not to use the Service for any unlawful purpose or in any way that could harm ChatBotChatApp or other users. Prohibited activities include, but are not limited to:
    • Violating any applicable laws or regulations.
    • Infringing on the intellectual property rights of others.
    • Distributing spam, malware, viruses, or other harmful content.
    • Harassing, threatening, defaming, or discriminating against others.
    • Attempting to gain unauthorized access to the Service or other users' accounts.
    • Circumventing security measures or rate limits.
    • Reselling or sharing accounts without authorization.
    • Subscribing through unofficial channels.
    • Using the service for scraping or excessive automated data extraction beyond intended use.
  • Content Restrictions: You are solely responsible for the text prompts you provide and the content you generate or post using the Service ("User Content"). You may not generate or transmit content that:
    • Is unlawful, illegal, or promotes illegal activities.
    • Is hateful, harassing, discriminatory, or promotes violence against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics.
    • Is defamatory, libelous, or invasive of privacy.
    • Contains non-consensual sexual content or promotes exploitation.
    • Is excessively violent or promotes dangerous activities.
    • Infringes on the intellectual property rights or other rights of any third party.
    • Contains malware or harmful code.
  • Single Account Policy: Users are permitted to have only one account. Creating multiple accounts or engaging in account sharing or reselling is strictly prohibited.
  • Abnormal Behavior: We monitor for and take action against abnormal user behavior that disrupts service operations, attempts to exploit the system, or violates these terms.

5. Intellectual Property

  • ChatBotChatApp Content: The Service and its original content (text, graphics, logos, etc.), features, and functionality (excluding User Content) are owned by ChatBotChatApp and are protected by copyright, trademark, and other intellectual property laws.
  • User Content: You retain ownership of the User Content you generate using the Service. By submitting prompts and generating User Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, copy, modify, process, and distribute such content solely for the purpose of providing, maintaining, and improving the Service, including training underlying AI models (subject to privacy commitments outlined in our Privacy Policy).
  • Feedback: Any feedback, suggestions, or ideas you provide to us regarding the Service may be used by us freely without any obligation or compensation to you.

6. Payments, Subscriptions, and Refunds

  • Paid Services: Some parts of the Service may be available only with a paid subscription ("Subscription").
  • Subscription Terms: Subscriptions cover a fixed period, either monthly or annually, as specified during the purchase process. Subscriptions do not automatically renew. At the end of your subscription period, your access to the paid features will end unless you actively purchase a new Subscription.
  • Subscription End: You may choose not to purchase a new subscription at any time. Your current Subscription will remain active until the end of the paid billing period, at which point access to paid features will cease. No refunds will be provided for partial subscription periods if you simply choose not to use the service for the remainder of the term.
  • Refunds: Our refund policy is detailed separately. Generally, we may consider refund requests for initial subscription purchases made within 24 hours (for monthly plans) or 72 hours (for annual plans) of the transaction time, provided the service has not been substantially used. However, refunds are not guaranteed and are subject to review based on usage and account status. Credits are non-refundable once purchased. Please review our full Refund Policy for complete details.
  • Fee Change: We reserve the right to change the Subscription fees for future purchases. Any fee change will apply only to new Subscriptions purchased after the change takes effect. Fees for your current active Subscription will not be affected.

7. Disclaimers

  • "AS IS" Basis: The Service is provided "as is" and "as available," without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • No Guarantees: We do not guarantee that the Service will be uninterrupted, error-free, secure, or that generated content will meet your requirements or be accurate. AI models can produce inaccurate or offensive content.
  • Accuracy of Information: We are not responsible for the accuracy, completeness, reliability, or appropriateness of any content generated by the Service. You use the generated content at your own risk.
  • Third-Party Links: The Service may contain links to third-party websites or services. We are not responsible for the content, privacy policies, or practices of these third-party sites.

8. Limitation of Liability

To the maximum extent permitted by law, ChatBotChatApp and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Service; (b) any conduct or content of any third party on the Service; (c) any content obtained from or generated by the Service; or (d) unauthorized access, use, or alteration of your transmissions or content. In no event shall ChatBotChatApp's aggregate liability exceed the amount you have paid to ChatBotChatApp, if any, in the three (3) months immediately preceding the date giving rise to the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless ChatBotChatApp and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable attorney's fees and costs, arising out of or in any way connected with (a) your access to or use of the Service, (b) your User Content, (c) your violation of this Agreement, or (d) your violation of any rights of another.

10. Governing Law and Dispute Resolution

  • Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of laws principles.
  • Dispute Resolution: The parties agree to first attempt to resolve any dispute arising out of or relating to this Agreement through good faith negotiation. If the dispute is not resolved through negotiation within 30 days of written notice of the dispute, then any unresolved controversy or claim shall be finally settled by binding arbitration administered by the Vietnam International Arbitration Centre (VIAC) in accordance with its Rules of Arbitration. The seat of arbitration shall be Hanoi, Vietnam. The language of arbitration shall be English.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace this Agreement at any time. If a revision is material, we will make reasonable efforts to provide notice (e.g., via email or a notification within the Service) prior to the new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Service after the effective date of the revised Agreement constitutes your acceptance of the changes.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach this Agreement. Upon termination, your right to use the Service will cease immediately. Sections that by their nature should survive termination (including, but not limited to, ownership provisions, warranty disclaimers, indemnity, and limitations of liability) shall survive termination.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

15. Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter, nor shall the waiver of a breach constitute a waiver of any subsequent breach.

16. Strengthening ChatBotChatApp Usage Regulations and Combating Illegal Third-party Activities

In order to maintain the fairness, security, and sustainable development of ChatBotChatApp, ensure that all users can enjoy high-quality services, and comprehensively protect user account security and privacy data, we have established this policy. We explicitly prohibit subscribing through unofficial channels, account sharing or reselling, circumventing our security measures, and any behavior that violates our Terms of Service. We reserve the right to take measures, including immediate suspension or termination of accounts and cancellation of benefits, against users violating these regulations. 17. Translation Interpretation

These Terms and Conditions may have been translated if We have made them available to You on our Service. You agree that the original English text shall prevail in the case of a dispute.
